The Royal Dutch Shell Group of companies was created in 1907, when the Royal Dutch Petroleum company and the "Shell" Transport and Trading Company Ltd of the United Kingdom merged their operations. More recently, in 2004, following a period of turmoil caused by the revelation that Shell had been overstating its oil reserves, it was announced that the Shell Group would move to a single capital structure, creating a new parent company to be named Royal Dutch Shell PLC, with its principal listing on the London Stock Exchange and the Amsterdam Stock Exchange.

Shell Group's main business is the exploration for and the production, processing, transportation and marketing of hydrocarbons (oil and gas). Shell also has a significant petrochemicals business (Shell Chemicals), and an embryonic renewable energy sector developing wind, hydrogen and solar power opportunities. Royal Dutch Shell is incorporated in the UK with its corporate headquarters in The Hague, The Netherlands.

Merge Rumours:

While other multinational oil companies indulged in mega-mergers in the late 1990's and early 2000's Shell stayed out of the fray. There has, however, continued to be speculation that merger/takeover opportunities have been under consideration at the top of Shell. One of those rumours are a possible merge with BP, which would create the world's largest company.

Shell and Venezuela:

In 2006, Venezuela's energy ministry, in new revenue-raised measure, said private oil companies operating in country would have to convert to joint ventures with government within six months. Some oil corporations decided to pulled out the country, such as Exxon Mobil and Conoco Phillips.

Chevron, Royal Dutch Shell and fourteen other companies did agree to the terms giving Venezuela's state oil company, PDVSA, at least a 60 percent stake. More information in this Royal Dutch un-affiliate blog.

On August 2007, Venezuelan tax authorities closed a Royal Dutch Shell office for 48 hours and asked for an injunction on some of the oil firm's assets in a tax dispute. Venezuela's tax authority said it had put a hold on Shell goods worth $131m and shut its office in Lake Maracaibo. Shell is challenging the demand, which is part of a wider clampdown on alleged tax avoidance by foreign firms.

Under the injunction, Shell will be prevented from exporting or selling the goods earmarked under the injunction as collateral in the tax dispute, SENIAT (the country's tax authority) said. BBC News
